Emerging Business :

We define an emerging business as an entity with a growth rate capable of sustaining a profit of $500,000 per year. In the application of our proprietary process, we work closely with a business and its owners to create bigger opportunities, improve cash flow, minimize taxes, source and negotiate cost effective capitalization, and plan proactively for an owner’s ultimate exit. Our custom process and proprietary set of tools are applied to achieve clients’ growth goals quickly and efficiently.

Buy-side :

We navigate a client with a desire to purchase a business through a customized and proprietary six step process. We cover Target Evaluation, Letter of Intent, Business Valuation, Due Diligence, Sales Agreement and Closing, and post-Closing representation. Since our fee structure is progressive, we are able to remain unbiased in the transaction, enabling us to focus totally on the best possible outcome for the client. We are compensated with the completion of each phase of the process, so there’s no rush to close an inappropriate acquisition. A hallmark of our process, and one of our many unique advantages, is our desire to work closely with clients’ existing advisors. Nevertheless, should core professionals (CPA’s, Attorneys and Valuation Analysts) be needed, we have access to them within our group of Alliance Advisors. In every case the client remains in control of the process and is free to engage any of their own advisors, or one of our Alliance Advisors, for accounting, legal, tax, and valuation services.

Exit Planning :

Our clients benefit from a proprietary seven step exit planning process that permits them to set their exit objectives, determine the proper value or price for their business, preserve, protect, and drive value, consider the tax and cash flow consequences by converting value to cash and/or a note, develop a contingency plan, and last, but not least, create their wealth preservation plan. We work with our client’s existing advisors, or involve our alliance advisors as needed, to collaboratively progress through the seven steps to create an effective exit plan.

Sale-side :

We work collaboratively with the existing advisors, such as the CPA and Legal Counsel, or if needed with our Alliance Advisors to navigate the closely-held business owner(s) through their exit plan and ultimately the sale of their business. The business owner is taken through a six phase process that provides an assessment of their current situation, customizes an exit plan, prepares a valuation for the purpose of pricing the business for the various types of potential acquirers, negotiation services and post-closing representation in the sale transaction. Fees for our services do not cover tax, accounting, valuation, and legal work. The business owner engages their own advisors, or one of our Alliance Advisors, separately for such services. Our fees are not contingent upon the sale of the business. Instead, they are assessed as each of the six phase process is completed. This allows Enterprise Transitions to remain unbiased and able to keep the client’s best interests first. It also allows the business owner to remain in control of the process.
